1. Who we are and what these terms cover
These terms are an agreement between Paperplane Labs, LLC, a Delaware limited liability company based in Spokane, Washington, and the organization that uses Chickpea Cloud. In these terms, "Chickpea", "we", and "us" mean Paperplane Labs, LLC. "You" and "Customer" mean the organization that owns the Slack workspace Chickpea is added to. "The Service" means Chickpea Cloud, its Slack app, and its Admin pages.
The person who adds Chickpea to a Slack workspace accepts these terms for the organization that owns the workspace, and confirms they are allowed to. That person becomes the workspace's first Chickpea Owner. Everyone who uses Chickpea in the workspace afterwards uses it under that acceptance.
These terms also cover this website, chickpea.co. The Privacy Policy is part of these terms.
The Chickpea source code is published under the Apache License 2.0. If you run that software on your own infrastructure, the license applies to it and these terms do not.
2. Your account and workspace
Chickpea Cloud has no passwords. People sign in with Slack, and Chickpea lets them into the workspace Slack says they belong to. Apart from the first Owner, a person can sign in once they have used an Agent in the workspace.
Each workspace has Owners, Admins, and Members. Owners and Admins manage its settings and its shared connections. Owners also manage its plan and decide who is a member and who is an Owner. Members use Agents, and can create Agents, schedules, and connections of their own.
You are responsible for who you let into the workspace, who you make an Owner or Admin, and what they do with the Service. Keep your Slack accounts secure. If you think someone used your workspace without permission, remove their access and tell us at p@paperplanelabs.com.
3. Acceptable use
You agree not to use the Service to:
- break the law, or help someone else break it;
- send spam, harass anyone, or share material you have no right to share;
- use a connected account in a way its provider does not allow, or overload or attack another service;
- reach, or try to reach, another workspace's data, or get around what keeps workspaces apart;
- get around usage limits, or resell the Service, unless we agree in writing;
- test the Service for vulnerabilities, except by reporting what you find through our private vulnerability report form;
- process data that needs special legal protection, such as health records or payment card numbers, unless we agree in writing.
You also agree to follow Slack's Acceptable Use Policy and the usage policy of each model provider your Agents use. We may stop a request, pause an Agent, or suspend a workspace that breaks these rules.
4. Your content and connected accounts
Your content stays yours. Content means the messages, files, instructions, memory, and other material your workspace gives the Service, and what Agents produce for you.
You give us permission to store, copy, process, and send your content as needed to run the Service for you, to keep it secure, and as section 7 describes. That includes sending it to the model provider an Agent uses and to the services you connect. We do not sell your content.
You are responsible for the accounts you connect, for having the right to connect them, and for the instructions and access you give each Agent. An Agent can act in a connected account within the access you give it.
AI output can be wrong. Check what an Agent tells you before you rely on it.
You are responsible for telling the people in your workspace how your organization uses Chickpea, and for giving them any notice the law requires.
5. Model providers and third-party services
The Service relies on other companies. Each provides its service under its own terms, which apply to your use of it:
- Slack, where Agents work and where people sign in.
- Anthropic, OpenAI, and OpenRouter, the model providers an Agent can use. OpenRouter sends each request on to the provider of the model you choose.
- Composio, which connects and runs the managed connectors.
- GitHub, when you connect repositories through the Chickpea GitHub App.
- Browserbase, which runs the browser Agents use to open websites.
- Stripe, which processes payments.
- Any API or MCP server you connect yourself.
When an Agent uses your own model key, your provider bills you and your agreement with that provider applies. When an Agent uses models included, meaning model access through Chickpea's provider accounts, we send the request to the provider under our account.
We are not responsible for another company's service or for what it does with data you send it. If one changes or stops, the parts of Chickpea that depend on it may change or stop too.
6. Plans, usage, and payment
Chickpea Cloud counts usage in dollars. These rules apply to plans and usage:
- Plans are monthly, at $25, $50, $100, $200, $300, or $500 a month. Each plan includes usage worth its price plus 20%. The $25 plan includes $30 of usage a month. A plan renews each month until it is cancelled.
- A reply uses the model provider's published list price for the tokens it used, with no markup. A model reached through OpenRouter uses what OpenRouter billed, plus the 5.5% fee OpenRouter charges when we pay for usage in advance, passed through at cost.
- A task costs $0.30 of usage on top of its tokens. A task is a reply in which an Agent works in your tools, such as reading a channel, working in a Slack list, using a connected account, opening a website in its browser, or working in a repository. A scheduled run that posts to Slack is a task. Chat replies, images, and setting up Chickpea itself carry no task fee. On a plan, the 20% bonus makes a task work out to $0.25.
- Plan usage resets each billing period. Unused plan usage carries over for one month when the plan renews on time, and then expires.
- Extra usage comes in $25, $50, or $100 amounts at face value, with no bonus, and lasts 12 months. It works only while the workspace has a plan. Without a plan it waits, with its expiry date unchanged, and works again when the workspace subscribes again.
- A workspace that starts with models included gets $50 of usage for 30 days, once per Slack workspace.
- Using your own model provider key needs a plan of $100 a month or more. Your provider bills you directly for model usage. Tasks still take $0.30 each from the plan's usage, and chat replies take nothing.
- When usage runs out, Agents stop work that needs it and reply that the workspace has used its plan's usage, until an Owner adds extra usage or changes the plan. Requests made in the meantime are not resumed later.
- Payments are not refundable. If a reply fails because of a problem on our side, we give its usage back to the workspace. We do not give usage back when a reply fails because of the workspace's own setup or accounts, when someone stops a reply, or when usage runs out. If a workspace is charged for a second plan by mistake, we cancel the second plan and refund it.
- Owners get a Slack message as the workspace passes 75%, 90%, and 100% of the period's plan usage.
- We may change plan prices, the task fee, or usage rates when model providers change theirs. A change applies from its effective date. Usage already charged keeps the rate it was charged at.
- Prices do not include tax. We add tax where we must collect it.
Owners choose, change, and cancel the plan on the Plan page in Chickpea, and Stripe processes the payment. A cancelled plan stays active until the end of the period already paid for.
7. Product improvement
Customer authorizes Chickpea to keep copies of Agent runs in Customer's workspace as described in the Privacy Policy under "Help improve Chickpea", and to use them only to find and fix defects and improve the Service. Chickpea keeps each copy for no more than 30 days, never uses copies to train AI models, and shares them only with providers whose terms or settings keep them from training on the copies. Customer may withdraw this authorization at any time by turning off the setting, and Chickpea will then delete the copies. Customer is responsible for giving its users any notice the law requires.
The Help improve Chickpea section of the Privacy Policy describes the setting in full.
8. Changes to the Service and to these terms
We change Chickpea Cloud over time. We may add, change, or remove features.
We may update these terms. We post each new version on this page with its effective date. For a material change, we tell workspace Owners at least 30 days before it takes effect. Price changes follow section 6. If you keep using the Service after a change takes effect, the new terms apply. If you do not agree, stop using the Service and remove Chickpea from your workspace.
9. Suspension and termination
You can stop at any time by removing Chickpea from your workspace in Slack. Chickpea then stops working in the workspace at once, everyone is signed out, coding agents connected to the workspace lose access, and a paid plan stops renewing at the end of its current period.
We may suspend or end a workspace's use of the Service if it breaks these terms, does not pay, puts the Service or other customers at risk, or if the law requires it. Unless the law or a security risk prevents it, we tell an Owner why. A suspended workspace's Agents do not work, and when we resume it everything is as it was.
If we stop offering Chickpea Cloud, we will tell Owners at least 30 days before, and offer each workspace a copy of its data.
When a workspace's use ends, its data is handled as the Privacy Policy says under When Chickpea is removed from a workspace. We keep the data for up to 14 business days after Chickpea is removed so that an Owner can ask us for a copy, then erase it. If you add Chickpea to the workspace again later, it starts empty. Unused usage is not refunded and does not carry over.
Sections 4, 5, 10, and 11, and any amount you owe, continue after the end.
10. Disclaimers and limitation of liability
We provide the Service as is and as available. We work to keep it running and correct, but we do not promise that it will be uninterrupted, free of errors, or right for your purpose. To the extent the law allows, we disclaim every other warranty, including merchantability, fitness for a particular purpose, and non-infringement.
To the extent the law allows, neither you nor we are liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if told they were possible.
To the extent the law allows, our total liability for all claims about the Service or these terms is limited to the amount you paid us for the Service in the 12 months before the event that led to the claim.
11. Governing law
The laws of the State of Washington, USA, govern these terms, without regard to its rules on conflicts of law. Any dispute goes to the state or federal courts in Spokane County, Washington, and you and we agree to their jurisdiction.
